Terms of Use

Welcome to Stepply. These Terms of Use ("Terms") govern your access to and use of the Stepply mobile application ("App"), website (https://stepply.ai), and related services (collectively, the "Platform") operated by Stepply AI LTDA ("Stepply", "we", "our", or "us"), located at Av. Ibirapuera, 2120, Conj. 0142, Indianopolis, Sao Paulo/SP, CEP 04.028-001, Brazil.

By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

  • User: A natural person registered with Stepply to use the Platform.
  • Challenge: A goal-based activity created by users or organizations within the App, which may include a ticket price and cash prizes.
  • Activity: A specific task or action within a challenge that participants must complete.
  • Check-in: A submission by a user to prove participation in a challenge activity. The submission requires media (a photo or video) and may include a text description.
  • Ticket: A paid entry to participate in a challenge that has a ticket price.
  • Wallet: A feature within the App — not a bank account or financial institution — that displays pending prize and commission amounts owed to the user by the Platform and accumulates redeemable points. Actual payouts are sent directly to the user's own bank account via PIX (on Brazil).
  • Platform Fee: A percentage charged by Stepply (currently 20%) on each ticket transaction as compensation for intermediating the challenge operation. This fee is deducted from the ticket revenue before any other distribution.
  • Creator Fee: An optional percentage set by the challenge creator (up to 50%) that is deducted from the net ticket revenue (after payment processing and platform fees) as compensation to the creator for organizing the challenge.
  • Prize Pool: The remaining amount from ticket sales after deducting payment processing fees, the platform fee, and the creator fee. This amount is awarded to the challenge winner(s).
  • Challenge Creation Fee: A fixed fee charged to the creator when creating a paid challenge, as compensation for the challenge-creation service on the Platform. It is separate from the ticket and the prize, constitutes Platform revenue, and is non-refundable.
  • Co-winners: Two or more participants who remain tied after all tiebreaker criteria and split the prize among themselves.
  • Integrity Score: An internal per-participant metric that reflects the reliability of the data provided (data source, type of media submitted, and, in paid challenges, the AI media analysis). It does not change ranking points; it is used only as a tiebreaker and as evidence in audits or disputes.
  • Organization: A business entity registered on Stepply to create and manage challenges.
  • Wearable Activity: An activity within a challenge that requires health and fitness data collection from a wearable device (smartwatch, fitness tracker) through Apple HealthKit (iOS) or Google Health Connect (Android) to verify participation.

2. Eligibility

To use the Platform, you must:

  • Be at least 13 years of age (or the minimum age required in your jurisdiction)
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and truthful registration information
  • Not have been previously suspended or removed from the Platform

If you are under 18 years of age, you represent that you have your parent's or legal guardian's consent to use the Platform. Users under 18 may not participate in challenges that involve financial transactions (paid tickets or cash prizes) without verifiable parental or legal guardian consent.

3. Account Registration

3.1 Account Creation

To use the Platform, you must create an account by providing your full name, email address, phone number, CPF (Brazilian tax ID), date of birth, and a password. Authentication is managed by our identity provider (Clerk).

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

3.3 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your information updated. Stepply reserves the right to suspend or terminate accounts that contain inaccurate or fraudulent information.

3.4 One Account Per Person

Each person may only maintain one account. Creating multiple accounts may result in suspension or termination of all associated accounts.

4. Challenges

4.1 Creating Challenges

Users and organizations may create challenges within the App. When creating a challenge, the creator defines:

  • Challenge title and description
  • Challenge banner image
  • Activities participants must complete
  • Challenge duration (7, 14, or 30 days) and start date
  • Challenge type: free, sponsored, or competitive with a prize pool funded by ticket sales
  • Ticket price (if applicable)
  • Creator fee percentage (if applicable, for sponsored or competitive challenges)
  • Join method (open or invite-only)

The challenge creator is responsible for ensuring the challenge description accurately represents the required activities, as well as being engaging enough for other users on the platform to be interested in participating. The challenge creator is responsible for managing the challenge, monitoring its progress, participant engagement, reporting any irregularities to Stepply, and organizing real-world initiatives that correspond to the challenge's purpose.

Creating paid challenges is subject to a Challenge Creation Fee (see Section 5.6); the challenge only becomes available for sign-ups after that fee's payment is confirmed. A free challenge cannot be converted into a paid one (or vice versa) after creation. Paid challenges may require a minimum number of participants to start — if the minimum is not reached, the challenge may not start. After a challenge starts (or once it has check-ins), the scoring criterion, activities, and dates cannot be changed.

4.2 Joining Challenges

To join a challenge, you may need to:

  • Purchase a ticket (for paid challenges)
  • Request approval from the challenge creator (for approval-based challenges)
  • Receive an invitation (for invite-only challenges)

By joining a challenge, you agree to abide by the challenge rules defined by its creator.

4.3 Participating in Challenges

Participation involves completing activities and submitting check-ins to record your progress. Every check-in requires media (a photo or video) — text-only check-ins are not accepted. Media is used to validate the check-in and for the integrity and anti-fraud mechanisms (see Section 6.5).

Accepted data sources. Activity volume data (distance, steps, minutes, or calories) must come from a verifiable source — it is never entered manually:

  • Free challenges: accept photo + GPS as the minimum source; connected wearables and fitness apps are optional.
  • Paid challenges: accept a connected wearable, a connected fitness app, or photo + GPS. Participants who play with photo + GPS only, without verifiable volume data, fall into base scoring — a symbolic score that allows participation but competes at a disadvantage against those who provide volume data.

Wearable suspension. In exceptional situations (e.g., instability of a health-data provider or an Apple/Google policy change), Stepply may temporarily suspend features that rely on third-party health data. During the suspension, free challenges continue normally and paid volume-based challenges are limited to base scoring.

Some activities require you to connect a wearable device and grant access to health data (such as heart rate, steps, calories, and distance) through Apple HealthKit or Google Health Connect. By participating in these activities, you consent to the collection and processing of this health data as described in our Privacy Policy. You can revoke access at any time through your device settings, but this may prevent you from completing wearable-based activities.

4.4 Points and Scoring

Points are based on the activity volume verified in each check-in. In summary:

  • The organizer chooses one scoring criterion when creating the challenge: Accumulated (the sum of the chosen metric — km, steps, minutes, or calories — over the challenge) or Daily goal (meeting a goal each day).
  • When a challenge has more than one activity, the organizer assigns a relevance level (weight) to each, which multiplies the points.
  • Every competitive challenge has a mandatory streak bonus, which multiplies points for each consecutive day you meet the goal.
  • The organizer may enable an optional weekly regularity bonus per activity.
  • Media does not add points to the ranking — although it is mandatory to validate the check-in.

The detailed scoring rules, including formulas and the per-unit normalization table, are made available in the App and may be adjusted by the Platform. Any changes apply only to challenges created after the change — challenges already in progress keep the rules in effect at the time of their creation, so no one is harmed retroactively.

Challenge timezone. The "day" and "week" counts (for daily goal, streak, and the regularity bonus) follow the challenge's timezone (set by the creator's timezone at creation), not each participant's timezone. The App shows countdowns and warnings when your timezone differs from the challenge's.

4.5 Disqualification

Challenge creators or Stepply may disqualify participants who:

  • Submit fraudulent or misleading check-ins
  • Violate the challenge rules
  • Violate these Terms of Use

Disqualified participants are not eligible for prizes.

5. Tickets and Payments

Stepply acts solely as an intermediary between challenge creators and participants. Stepply is not a financial institution, payment institution, or escrow service. When a ticket is purchased, Stepply receives the payment on behalf of the challenge operation, retains its platform fee, and forwards the amounts owed to the challenge creator (as commission) and to the challenge winner (as prize). Payment processing is handled by third-party processors: Stripe (credit card) and AbacatePay (PIX).

As of the date these Terms were last updated, the Platform operates exclusively in Brazilian Real (BRL): all amounts (tickets, fees, and prizes) are displayed and charged in BRL, and the accepted payment methods process in BRL only.

5.1 Ticket Purchases

Some challenges require a paid ticket to participate. Ticket prices are set by the challenge creator and displayed in the App before purchase. All prices are displayed and charged in Brazilian Real (BRL).

Payments are processed by our third-party processors — Stripe (credit card) and AbacatePay (PIX). By making a purchase, you also agree to the applicable processor's terms (Stripe or AbacatePay).

5.2 Platform Fee

Stepply charges a platform fee of 20% on each ticket transaction. This fee is deducted from the ticket revenue before distributing prizes.

5.3 Funds Breakdown

When you purchase a ticket, the revenue is allocated as follows:

  1. Payment processing fees (Stripe) are deducted first
  2. Stepply platform fee (20%) is deducted from the net amount after payment fees
  3. Creator fee (if applicable, set by the challenge creator) is deducted from the net amount after the platform fee
  4. Prize pool: The remaining amount goes to the challenge prize pool

5.4 Cancellation and Refund Policy

You may cancel a ticket purchase under the following conditions:

  • Cancellation window: Within 7 days of purchase
  • Challenge timing: The challenge must start at least 24 hours after the cancellation request

Refund amounts depend on when you cancel:

  • Within 24 hours of purchase: 100% refund
  • After 24 hours but within 7 days: 70% refund

Refund timelines by payment method:

  • PIX: Refunded within up to 5 business days
  • Credit card: The chargeback will appear within the next 2 billing cycles

No refunds will be issued after the 7-day cancellation window has expired, after the challenge has started (if less than 24 hours remain before start), or after the challenge has ended.

5.5 Challenge Removal by Creator

Challenge creators may remove a challenge only before it has started and only if no ticket purchases have been completed. Once a participant has purchased a ticket for a challenge, the creator cannot remove the challenge. This restriction ensures participant funds are protected.

5.6 Paid Challenge Creation Fee

Creating a paid challenge is subject to a Challenge Creation Fee, charged to the creator at creation time as compensation for the creation service on the Platform.

  • Amount: set by the Platform and shown before confirmation (initial value of R$ 10.00, which may be adjusted at any time).
  • Nature: it is a fee separate from the ticket and the creator fee, constitutes Platform revenue, and does not contribute to the prize pool.
  • Charge: the challenge only becomes available for sign-ups after the fee payment is confirmed. If payment fails or expires, the challenge is not created.
  • Non-refundable: the Creation Fee is non-refundable under any circumstances — including if the creator cancels the challenge before it starts, or if the challenge does not reach the minimum number of participants required to start.
  • Payment methods: the same as ticket purchases (credit card via Stripe and PIX via AbacatePay).

6. Prizes and Payouts

6.1 Winner Determination

At the end of a paid challenge, the ranking is determined by each participant's total score. Participants who left the challenge or were disqualified are not eligible.

In case of a tie in points, the following tiebreaker criteria are applied, in this order — the first criterion that differentiates decides the outcome:

  1. Weighted adjusted volume: the sum of each check-in's normalized volume multiplied by the activity weight
  2. Longest streak achieved
  3. Integrity score (see Section 6.5)

If, even after all criteria, two or more participants remain tied, they are considered co-winners and split the prize (see Section 6.2).

If a challenge ends with all participants having zero points (no valid check-ins submitted), no winner will be declared. In this case, the total amount collected from ticket sales will be retained exclusively by the challenge creator (as commission) and by the Platform (as platform fee), according to the breakdown described in Section 5.3. No prize will be awarded.

6.2 Prize Distribution

The prize amount corresponds to the total prize pool accumulated from ticket sales (after deducting fees as described in Section 5.3). The prize is paid directly to the bank account linked to the PIX key registered on the Platform (see Section 6.3.2); it appears as a transaction in your Wallet only for recordkeeping and tracking — the Wallet does not hold funds.

When there are co-winners, the prize is split equally among them. When the split produces a cent remainder, the extra cent is distributed one per participant, starting with the earliest enrollments. (Example: a R$ 100.01 prize for 3 co-winners → R$ 33.34 / R$ 33.34 / R$ 33.33.)

6.3 Wallet and Payouts

The Wallet is a feature within the App that allows you to view pending prize and commission amounts and track your redeemable points balance. The Wallet is not a bank account and does not hold funds.

6.3.1 Wallet Activation

To activate your Wallet and become eligible to receive prize and commission payouts, you must:

  • Provide a valid PIX key and its corresponding key type (CPF, email, phone number, or random key)
  • Have a valid CPF registered on your account

Without an activated Wallet, you will not be able to receive payouts for prizes won or commissions earned from challenge creation.

6.3.2 Payouts

Prize and commission payouts are processed within up to 5 business days and sent directly to your own bank account via PIX (through AbacatePay) using the registered PIX key. No withdrawal request is needed. Stepply is not responsible for payouts sent to incorrect PIX keys provided by the user.

When there are multiple co-winners, each receives an individual PIX transfer with their respective amount. When the challenge creator is also one of the winners, their prize and their organizer earnings are combined into a single PIX transfer, although they appear as separate lines in the Wallet. If a specific transfer fails (e.g., an invalid PIX key), only that transfer remains pending and is handled individually, without affecting the others.

6.3.3 Redeemable Points

The Wallet also displays your redeemable points balance. Redeemable points are granted by the Platform as additional rewards for using the Platform in various ways. The distribution, amounts, and conditions for earning and redeeming points are entirely at Stepply's discretion and may change at any time without prior notice. Redeemable points have no monetary value and cannot be exchanged for cash.

6.4 Taxes

You are solely responsible for any tax obligations arising from prizes received through the Platform. Stepply may be required to report prize payments to Brazilian tax authorities as required by law.

6.5 Integrity Score

Each participant accumulates an integrity score over the challenge, reflecting the reliability of the data provided. It combines the data source (wearable), the type of media submitted (video or photo), and, in paid challenges, the result of the AI media analysis. The integrity score does not change ranking points — it is used only as a tiebreaker (Section 6.1) and as evidence in audits or disputes.

7. User Content

7.1 Content You Submit

By submitting content (check-in photos, videos, text, challenge descriptions, profile information) through the Platform, you:

  • Represent that you own or have the necessary rights to the content
  • Grant Stepply a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute the content in connection with operating and improving the Platform
  • Acknowledge that check-in media may be analyzed by AI systems for activity verification purposes

7.2 Content Restrictions

You agree not to submit content that:

  • Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
  • Infringes on intellectual property rights of others
  • Contains personally identifiable information of third parties without their consent
  • Is fraudulent, deceptive, or misleading
  • Contains malware, viruses, or harmful code
  • Promotes violence, discrimination, or illegal activities
  • Is sexually explicit or exploitative
  • Targets, bullies, or harasses any individual

7.3 Content Removal

Stepply reserves the right to remove any content that violates these Terms or that we deem inappropriate, without prior notice. Repeated violations may result in account suspension or termination.

8. Prohibited Conduct

You agree not to:

  • Use the Platform for any illegal purpose
  • Impersonate another person or entity
  • Manipulate or cheat in challenges (including submitting fake check-ins)
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Interfere with or disrupt the Platform or its infrastructure
  • Use automated tools, bots, or scripts to interact with the Platform
  • Circumvent any security measures or access controls
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Create multiple accounts to gain unfair advantages
  • Exploit bugs or vulnerabilities in the Platform (report them to us instead)
  • Use the Platform to spam, advertise, or solicit other users
  • Engage in money laundering or other financial crimes through the Platform

9. Intellectual Property

9.1 Stepply's Rights

The Platform, including its design, features, code, and content created by Stepply, is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without our written permission.

9.2 Trademarks

"Stepply" and the Stepply logo are trademarks of Stepply AI LTDA. You may not use our trademarks without prior written consent.

10. Third-Party Services

The Platform integrates with third-party services (payment processors, cloud providers, AI services) as described in our Privacy Policy. Your use of these third-party services is subject to their respective terms and policies.

11. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Stepply does not warrant that:

  • The Platform will be uninterrupted, secure, or error-free
  • Results obtained from the Platform will be 100% accurate or reliable
  • AI evaluations of check-in media will be 100% perfectly accurate
  • Health and fitness data collected from wearable devices will be perfectly accurate or complete
  • Challenges will meet your specific expectations

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEPPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM:

  • Your use of or inability to use the Platform
  • Any content submitted by users
  • Unauthorized access to your account
  • Errors in AI-based activity verification scoring
  • Inaccuracies in health or fitness data collected from wearable devices or health platforms
  • Payment processing delays or failures by third-party providers
  • Actions or omissions of challenge creators
  • Technical failures or service interruptions

Stepply's total aggregate liability for any claims arising from or related to the Platform shall not exceed the amount you have paid to Stepply in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Stepply, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Platform

14. Account Suspension and Termination

14.1 By Stepply

We may suspend or terminate your account at any time if we believe you have violated these Terms, engaged in fraudulent activity, or for any reason at our sole discretion. We will make reasonable efforts to notify you, except where prohibited by law or where notification could compromise security.

14.2 By You

You may delete your account at any time through the App settings. Upon deletion, your data will be handled as described in our Privacy Policy.

14.3 Effect of Termination

Upon account termination:

  • Your right to use the Platform immediately ceases
  • Any pending challenges you are participating in may be forfeited
  • Earned prizes in your Wallet that have not been withdrawn may be forfeited if the account was terminated for Terms violation
  • If your account was terminated without cause, we will make reasonable efforts to process any pending payouts

15. Dispute Resolution

15.1 Between Users

Disputes between users (e.g., regarding challenge rules, check-in validity, or prizes) should first be resolved directly between the parties. Stepply may, at its sole discretion, mediate disputes but is not obligated to do so.

15.2 Between You and Stepply

Any disputes arising from these Terms or the Platform shall first be addressed through good-faith negotiation. If a resolution cannot be reached within 30 days, the dispute shall be submitted to the courts of Sao Paulo, SP, Brazil.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Update the "Last updated" date at the top of these Terms
  • Notify you through the App or by email for significant changes

Your continued use of the Platform after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Platform and delete your account.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Stepply regarding the use of the Platform.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

17.3 Waiver

The failure of Stepply to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. Stepply may assign its rights and obligations without restriction.

17.5 Force Majeure

Stepply shall not be liable for any failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service failures.

17.6 Service Interruptions

Stepply reserves the right to temporarily interrupt or limit access to the Platform, in whole or in part, for maintenance, system updates, security patches, or any other changes deemed necessary for the proper operation of the Platform. When possible, Stepply will provide advance notice of planned interruptions through the App or by email. Stepply shall not be liable for any losses arising from such interruptions.

18. Governing Law

These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes shall be resolved in the courts of Sao Paulo, SP, Brazil.
